Bill,
I would use a polysulfide bedding compound or a product called Dolphinite, sp? available at West Marine.  The wood rail will natually want to move in relationship to the fibreglass deck or toe riser.  The bedding compound needs to be flexible.  This is also a maintenance item that will need to be removed every few years for rebedding, just like all deck fittings.  3M 4200 or 5200 will make removal difficult. If you use 5200 you will most likely destroy the wood trim trying to remove it the next time it leaks.  All of these products will fail eventually, so make it easier on yourself to remove the rail in the future.  The rail is not really structural, so you don't need an adhesive, just a sealant for all the through screws used to hold it in place.  This is particularly true for a boat that just has a wooden toe cap and the entire toe rail is not made of teak.
